Terms of Service

Effective date: January 1, 2026

These Terms of Service ("Terms") govern your access to and use of squyr.com and its subdomains (the "Site"), and the Squyr bilateral cryptographic data exchange protocol and related services (the "Protocol"). The Site and Protocol are operated by Silver Mountain Ventures, LLC ("Squyr", "we", "us", or "our"). By accessing or using the Site or Protocol, you agree to these Terms. If you do not agree, do not use the Site or Protocol.

1. Scope

These Terms apply to:

  • The marketing site at squyr.com and pages under that domain
  • The interactive demo at squyr.com/demo
  • The Squyr bilateral cryptographic exchange protocol
  • The Squyr Portal at portal.squyr.com
  • The downloadable documents available at squyr.com/downloads

Separate terms govern the commercial site at summitaudiencesegments.com. Partner license agreements govern the specific terms of data exchange between Squyr and its licensed partners.

2. Acceptable Use

The Site and Protocol are provided for lawful healthcare data exchange purposes. You may:

  • Browse, read, and view all pages of the Site for any lawful purpose
  • Use the Protocol to exchange de-identified healthcare data with authorized counterparties under a valid license agreement
  • Download, view, print, and share the non-proprietary documents available at squyr.com/downloads, in their unmodified form, with attribution to Squyr
  • Reference and link to the Site from other sources

You may not:

  • Use the Site or Protocol to process, transmit, or exchange data in violation of applicable law, including HIPAA, state privacy laws, or applicable healthcare regulations
  • Use the Site or Protocol to exchange data involving individuals without appropriate consent or legal authorization
  • Attempt to access non-public infrastructure, systems, or data beyond your authorized scope
  • Attempt to disrupt the Site's or Protocol's operation, including denial-of-service attacks or excessive automated requests
  • Reverse engineer, decompile, or attempt to derive the cryptographic keys, exchange parameters, or proprietary infrastructure of the Protocol
  • Use the Protocol to transmit malware, malicious code, or unauthorized data payloads
  • Use the Site or Protocol to develop a competing data exchange protocol that copies Squyr's specific architectural approach
  • Modify, repackage, or commercially redistribute the downloadable documents without prior written consent
  • Remove or alter any copyright, trademark, or proprietary notice from the Site, Protocol, or their contents
  • Misrepresent your identity, organizational affiliation, or authorization to use the Protocol

3. Account Responsibilities

Access to the Squyr Portal and Protocol requires an authorized account under a valid license agreement with Squyr.

  • Account security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Squyr immediately of any unauthorized use of your account.
  • Authorized use only. Your account is for your organization's use only. You may not share credentials with unauthorized parties or permit access beyond your licensed scope.
  • Compliance obligation. You are responsible for ensuring that your data exchange activities through the Protocol comply with your license agreement, HIPAA, and all applicable laws. Squyr provides the cryptographic infrastructure; the licensed partner bears responsibility for the lawfulness of the data they process.
  • Accurate information. You must provide accurate, complete information when creating an account and keep that information current.

4. Data Ownership

Each party retains ownership of their own data. Neither Squyr nor any counterparty acquires ownership of the other's data through the Protocol. The Protocol is infrastructure for bilateral exchange — it facilitates the transmission of de-identified, encrypted data between authorized parties without Squyr or any counterparty gaining access to the other's data content.

  • Your data. You retain all right, title, and interest in the data you transmit through the Protocol. Squyr does not acquire any rights to your data by virtue of providing the Protocol.
  • Counterparty data. You do not acquire ownership rights to data transmitted to you by a counterparty. Counterparty data remains the property of the originating party.
  • De-identification responsibility. You represent that you have de-identified data in accordance with HIPAA Safe Harbor (45 CFR § 164.514(b)) before transmitting it through the Protocol. You bear sole responsibility for the completeness of de-identification on your side.
  • Aggregated operational data. Squyr may collect and retain aggregate, non-identifiable operational metadata (bundle counts, transmission timestamps, exchange status) for service improvement, auditing, and operational purposes. This metadata does not include the content of any data bundles.

5. The Protocol

The Squyr Protocol is a bilateral cryptographic exchange infrastructure for healthcare data. It uses AES-256-GCM for encryption, SHA-256 for hashing, HKDF-SHA256 for key derivation, and Ed25519 for signatures — all cryptographic primitives implemented via the Web Crypto API client-side.

The demo at squyr.com/demo runs entirely in your browser using synthetic data. It is for educational and illustrative purposes only. It does not constitute a representation of how production Protocol deployments operate. Production deployments include additional infrastructure (key management systems, transport security, hash-chained audit ledgers) described in the Squyr Protocol White Paper available at squyr.com/downloads.

The Protocol is provided as-is for de-identified healthcare data exchange. Squyr does not warrant that the Protocol is suitable for any specific purpose or that its use will achieve any specific outcome. You are responsible for evaluating whether the Protocol fits your organization's needs and for compliance with applicable laws and regulations.

6. Intellectual Property

Squyr and Bilateral Cryptographic Data Exchange are trademarks of Squyr LLC. All content on the Site — including text, graphics, illustrations, protocol descriptions, downloadable documents, and source code — is owned by Squyr or its licensors.

Non-proprietary documents at squyr.com/downloads may be shared in their original, unmodified form for non-commercial reference and educational purposes. The documents remain Squyr's intellectual property. Redistribution for commercial gain, modification, derivative works, or repackaging is not permitted without Squyr's prior written consent.

The cryptographic primitives underlying the Protocol (SHA-256, HKDF-SHA256, AES-256-GCM, Ed25519) are publicly specified standards and are not owned by anyone. Squyr's specific implementation, reference clients, architectural designs, and operational documentation are proprietary and are not licensed to the public through the Site.

7. No Warranties

The Site and Protocol are provided "as is" and "as available," without warranty of any kind. To the maximum extent permitted by law, Squyr disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Site and Protocol contain technical and protocol information presented for educational and operational reference. Nothing on the Site or in the Protocol constitutes legal, regulatory, security, or compliance advice. Decisions about whether the Protocol fits a particular partnership context should be made in consultation with qualified counsel, security professionals, and compliance officers familiar with the specific use case.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Squyr will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, business opportunity, or goodwill — arising out of or related to your access to or use of the Site or Protocol, even if Squyr has been advised of the possibility of such damages.

Squyr's total cumulative liability for any claim related to the Site or Protocol will not exceed the fees paid by you to Squyr in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100.00), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply only to the maximum extent permitted by law.

This limitation of liability does not apply to liability arising from Squyr's gross negligence, willful misconduct, or fraud, or to death or personal injury caused by Squyr's negligence.

9. Indemnification

You agree to indemnify and hold harmless Silver Mountain Ventures, LLC, its officers, members, employees, agents, and affiliates, from any third-party claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your misuse of the Site or Protocol; (c) your violation of applicable law in connection with your use of the Protocol; or (d) your processing of data that you do not have the right to process through the Protocol.

10. Suspension and Termination

Squyr may suspend or terminate your access to the Site or Protocol at any time, with or without notice, if: (a) you violate these Terms; (b) you fail to comply with your license agreement; (c) your use poses a security risk or operational risk to the Protocol or other partners; or (d) we are required to do so by law or governmental order.

Upon termination, you must cease all use of the Site and Protocol and destroy any materials obtained from the Site. The following sections survive termination: Sections 4 (Data Ownership), 7 (No Warranties), 8 (Limitation of Liability), 9 (Indemnification), 11 (Governing Law), and 12 (Contact).

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law provisions. Any dispute arising out of or related to these Terms or your use of the Site or Protocol will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to personal jurisdiction in those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. Prior to initiating any litigation, you agree to attempt to resolve any dispute informally by contacting Squyr at info@summitaudiencesegments.com and allowing Squyr thirty (30) days to respond.

12. Changes to the Terms

We may update these Terms from time to time. Changes will be posted at squyr.com/terms with an updated effective date. Material changes will be highlighted at the top of the Terms. Continued use of the Site or Protocol after a change indicates acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Site and Protocol.

13. Changes to the Site and Protocol

We may modify, update, or discontinue any part of the Site or Protocol at any time without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Site, Protocol, or any portion thereof. We will make reasonable efforts to provide advance notice of material changes to the Protocol that affect its functionality.

14. Entire Agreement, Severability, Waiver

These Terms, together with the Privacy Policy and your license agreement with Squyr, constitute the entire agreement between you and Squyr regarding the Site and Protocol, and supersede any prior agreements or understandings. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

Squyr's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
